10. Force Majeure

Neither party shall be liable for any delay or failure to perform its obligations under this Agreement if such delay or failure 1 is due to causes beyond its reasonable control, including 2 but not limited to acts of God, fire, flood, earthquake, storm, hurricane, explosion, accident, war, terrorism, civil disorder, labor disputes, strikes, lockouts, shortages of labor, materials or transportation, governmental actions, traffic congestion, power outages, or any other cause beyond the reasonable control of the affected party.   

If a Force Majeure Event occurs, the affected party shall promptly notify the other party in writing and shall use reasonable efforts to mitigate the effects of the Force Majeure Event.
